Sweepstakes Terms & Conditions - United States of America (the “Sweepstakes”)
NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. INTERNET AND A VERIFIED UNIDAYS ACCOUNT REQUIRED. VOID WHERE PROHIBITED BY LAW. ALL FEDERAL, STATE AND LOCAL REGULATIONS APPLY. By entering the Sweepstakes entrants accept and agree to be bound by these Sweepstakes Terms and Conditions. Any violation of these rules may result in disqualification.

1. Sponsor. This Sweepstakes is sponsored by UNiDAYS Inc., (individually and collectively, the “Sponsor”). Nothing contained in these Terms and Conditions or in any of the Sweepstakes materials should be construed as an endorsement by the Sponsor or any other entity of any third party, product, or service. This Sweepstakes is not sponsored, endorsed, or administered by Apple Inc. or its subsidiaries and affiliates.

2. Eligibility. This Sweepstakes is only offered in the United States (where legal) and is only open to legal U.S. residents in the United States or the District of Columbia (excluding Puerto Rico, Guam, the Virgin Islands and other United States territories) who are 18 years of age or older at the time of entry. Entrants must have a verified UNiDAYS® account at all times during the Sweepstakes period and must be enrolled at least half-time in a Bachelor's or Associate's degree program or graduate program at an eligible school at the time of entry and at the time of winner notification/confirmation. Each entrant may be required to show proof of being an authorized UNiDAYS account holder. Employees, officers or directors (and their immediate families, regardless of where they live), of the Sponsor, or Sponsor’s parent, subsidiaries, affiliates and agencies; and entities engaged in the development, distribution, implementation or administration of the Sweepstakes are not eligible to enter. 3. Dates and Entry. This Sweepstakes will be open from November 16, 2020 through November 18th, 2020 (the “Sweepstakes Entry Period”). All entries must be submitted during the Sweepstakes Entry Period. To enter the Sweepstakes, entrants must entrants must click ‘Pre Register’ on Sponsor’s platform or gain early access via 'Early Access' links from Sponsor’s platform (www.myunidays.com/moments/ZTh2E53DUO99cZ7Ficuw) to be entered into the giveaway for the Beauty Boosts Drop.

4. Winner Selection and Notification. On or about November 19th, 2020, at 276 Fifth Avenue, New York, NY 10001, the Sponsor will randomly select a total of five (5) winners from the pool of eligible participants (the “Prize Winners”). The Prize Winners will be determined by a random drawing from all eligible entries received. Any potential winners will be contacted by email. If a potential winner cannot be contacted, does not respond within seven (7) calendar days from the time the Sponsor first tries to notify him/her, and/or the prize notification is returned as undeliverable, such potential winner may forfeit the right to win the Sweepstakes or receive the prize, and an alternate potential winner may be selected.

5. Prize. There will be a total of five (5) prizes awarded. The Prize Winner will receive a digital code with a value of One Hundred US Dollars ($100.00) towards a brand within the beauty category on Promotor’s platform, to be agreed upon between each winner and UNiDAYS. The prize can only be used on the selected brand’s website and according to such brand’s terms and conditions. The Prize is not transferable or exchangeable unless otherwise agreed in writing by Sponsor and the Prize cannot be redeemed for cash, cash alternative or any other form of compensation. The Prize must be taken as stated and cannot be deferred. Sponsor reserves the right to substitute the Prize with one of the same or greater value. Prizes are not transferable or redeemable for cash. Odds of winning are determined by the number of qualified participants during the entire Sweepstakes Entry Period. The total approximate retail value of all prizes is $500.

6. General Prize Conditions. Potential winners may be required to sign and return an Affidavit of Eligibility and Release of Liability along with a Publicity Release (collectively, the “Prize Claim Documents”) within five (5) days of notification. If a winner fails or refuses to sign and return the Prize Claim Documents within five (5) days of prize notification, the winner may be disqualified, and an alternate winner may be randomly selected from among the remaining eligible entries. Sponsor reserves the right to deny awarding the prize if the potential winner fails to provide adequate identification, as determined in Sponsor’s reasonable discretion.

7. Taxes. All federal, state and/or local income and other taxes, if any, and the reporting consequences thereof, for any other fees or costs associated with the applicable prize(s), and for any other liabilities incurred in connection with any prize, are the winner’s sole responsibility.

8. Odds of Winning. The odds of winning this Sweepstakes depend on the number of eligible entries received.

9. No Prize Transfer or Substitution. No prize or any portion thereof is transferable or redeemable for cash. Any portion of the prize that is not used is forfeited. No substitutions for prize are permitted, except by Sponsor or the Prize Supplier, in their reasonable discretion, in which case a prize of similar value may be substituted.

10. Limitations of Liability; Release. By entering the Sweepstakes, each entrant releases and discharges the Sponsor and any other party associated with the development or administration of this Sweepstakes, and their parent, subsidiary, and affiliated entities, and each of their respective officers, directors, members, shareholders, employees, independent contractors, agents, representatives, successors and assigns (collectively, “Sponsor Entities”), from any and all liability whatsoever in connection with the Sweepstakes, including without limitation legal claims, costs, injuries, losses or damages, demands or actions of any kind (including without limitation personal injuries, death, damage to, or loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light) (collectively, “Claims”). If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, if it is possible. Except where prohibited: (i) by accepting the prize, the winner may be required to, without further compensation, allow their name, age, school enrolled in, image and town, county or region of residence to be used for editorial, advertising and publicity purposes by the Sponsor (except if you are a resident of Tennessee or as otherwise prohibited by applicable Laws); (ii) acceptance of a prize constitutes a release by any winner of the Sponsor Entities of any and all Claims in connection with the administration of this Sweepstakes and the use, misuse, or possession of any prize; and (iii) any potential winner may be required to sign an Affidavit of Eligibility (including social security number) and a liability/publicity release. Affidavits and releases must be returned within five (5) days from the Sponsor’s request.

11. Disclaimers. (i) The Sponsor will not accept and will not count Sweepstakes entries that are automatically generated by a computer (including systems which can be programmed to vote) or by macros; completed by third parties or in bulk; illegible, have been altered, reconstructed, forged or tampered with; or incomplete. (ii) Entries on behalf of another person will not be accepted and joint submissions are not allowed. (iii) Entrants must have a verified UNiDAYS® account at all times during the Sweepstakes period and are permitted only one entry per person. (iv) Sponsor Entities reserve the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion and, in such event, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein; (v) SPONSOR ENTITIES MAKE NO WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, IN REGARD TO THIS SWEEPSTAKES OR THE MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY PRIZE OR ANY COMPONENT OF ANY PRIZE. 12. Disputes: Except where prohibited, each entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by New York Court located in New York, New York; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
